This MLS®/DDF®/VOW Data Authorization Agreement (the “Agreement”) is between you — the licensed real estate professional operating a website through CreativeRealtor.ca — and MyGTA Inc. (“MyGTA”). It governs the display of listing data on your website and must be accepted, including by electronic signature during setup, before listing data is displayed through the Service. It forms part of the Terms of Service.
1. Definitions
“MLS®” means a Multiple Listing Service® operated by a real estate board or association. “DDF®” means the CREA Data Distribution Facility®. “VOW” means a Virtual Office Website. “Listing Data” means any real estate listing content, data feeds, images or related information obtained through MLS®, DDF® or VOW channels. “Credentials” means the client IDs, secrets, API keys, approvals and authorizations required to access Listing Data.
2. MyGTA is a technology provider only
MyGTA is not a member of CREA or any real estate board, holds no MLS® access of its own, and does not supply Listing Data. The Service is a display and hosting technology. All Listing Data shown on your website is retrieved using Credentials supplied by you, under authorizations granted to you.
3. Your credentials and authorizations
You are solely responsible for obtaining and maintaining all Credentials and approvals required to access and display Listing Data — including CREA DDF® data feeds and any board, brokerage or VOW approvals that apply to you — and for keeping them current, valid and within their permitted scope. You must promptly disconnect or update Credentials that expire, are revoked, or change.
4. Your representations and warranties
I represent and warrant that I have all necessary rights, approvals, and permissions to access and display MLS® data through CreativeRealtor.ca. I acknowledge that CreativeRealtor.ca and MyGTA Inc. do not provide MLS® access and rely solely on the credentials and authorizations supplied by me. I agree to indemnify and hold harmless MyGTA Inc. from any claims, losses, or liabilities arising from inaccurate information, expired credentials, or unauthorized use of MLS®, DDF, or VOW data.
5. Compliance with display rules
You are responsible for ensuring that the display of Listing Data on your website complies with the rules of CREA, your board and your brokerage, including attribution, trademark usage, currency-of-data and takedown requirements. If a data provider, board or CREA requires changes to or removal of Listing Data, you must comply promptly, and you authorize MyGTA to effect such removal on your behalf.
6. Data handling
The Service periodically synchronizes Listing Data using your Credentials and caches it to serve your website. When you disconnect your Credentials, delete your account, or when this Agreement terminates, cached Listing Data associated with your account is removed from the Service.
7. Indemnification
In addition to the indemnity in the Terms of Service, you agree to indemnify and hold harmless MyGTA Inc. from any claims, losses, or liabilities arising from inaccurate information, expired credentials, or unauthorized use of MLS®, DDF® or VOW data through your account.
8. Term and termination
This Agreement applies for as long as Listing Data is displayed through your account. Either party may terminate it by disconnecting Credentials or closing the account; MyGTA may suspend Listing Data display immediately if required by a data provider or if it reasonably believes your Credentials are invalid or your display is non-compliant.
9. Electronic signature
During setup you sign this Agreement electronically by typing your full legal name. You agree that this constitutes a binding electronic signature under applicable law (including the Ontario Electronic Commerce Act, 2000). We record the typed name, the version of this Agreement, the date and time, and the IP address from which it was signed.
10. Trademarks
REALTOR®, MLS®, Multiple Listing Service®, DDF® and associated logos are trademarks of The Canadian Real Estate Association (CREA) and/or its members. Nothing in this Agreement grants you or MyGTA rights in those marks.
